1. Acceptance of Terms

These Terms & Conditions (“Terms”) form a binding agreement between Tech Budgie Ltd. (“AdvisorMatte”, “we”, “us”, or “our”) and the individual or entity registering for or using the AdvisorMatte platform at advisormatte.ca and crm.advisormatte.com (the “Service”).

By creating an account, starting a free trial, or otherwise accessing the Service, you (“User”, “you”, or “your”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you do not agree with these Terms, please do not access or use the Service.

If you are entering into these Terms on behalf of a company, agency, or other legal entity (such as an MGA), you represent that you have the authority to bind that entity.

2. Description of the Service

AdvisorMatte is a subscription-based, cloud-hosted CRM platform designed for:

  • Insurance Advisors

  • Insurance Brokers

  • Managing General Agencies (MGAs)

The platform includes tools for:

  • Quotation Generation

  • Lead Management

  • Policy Management

  • Payment Tracking & Reconciliation

  • Team & Partner Management

  • Secure Document Storage & Sharing

  • Business Reporting

AdvisorMatte is a software platform only. It does not provide insurance, legal, tax, financial, or professional advice and is not itself an insurance broker, agent, MGA, or advisor.

3. Eligibility and Account Registration

To use the Service:

  • You must be at least 18 years old.

  • You must have legal capacity to enter into a binding agreement.

  • You must provide accurate and complete registration information.

  • You are responsible for maintaining your login credentials.

  • You must immediately notify us at support@advisormatte.ca if your account has been compromised.

  • Where required, you confirm that you hold all necessary insurance licenses and regulatory authorizations.

4. Free Trial

AdvisorMatte may offer a 7-day free trial.

At the end of the trial period:

  • Your account automatically converts to a paid subscription unless cancelled before the trial expires.

  • Applicable subscription fees will be charged.

  • We reserve the right to modify or discontinue the free trial at any time.

5. Subscription Plans and Fees

AdvisorMatte currently offers the following subscription plans.

Advisor Plan

$35 CAD / Month

Includes:

  • Quotation Management

  • Lead Management

  • Policy Management

  • Payment Reconciliation

  • Process Tracking

  • Office Hours Support

MGA Plan

$55 CAD / Month

Includes:

  • Everything in Advisor Plan

  • Team Management

  • Payment Management

  • 24/7 Support

MGA Plus

Custom Pricing

Includes:

  • Complete End-to-End MGA Solution

  • Partner Integration

  • Advanced Customization

  • 24/7 Premium Support

Subscription pricing and features may change from time to time. Existing customers will receive advance notice before pricing changes become effective.

6. Billing, Payment & Cancellation

  • Subscription fees are billed in advance.

  • Plans automatically renew unless cancelled before renewal.

  • You may cancel your subscription at any time through your account settings or by emailing support@advisormatte.ca.

  • Cancellations become effective at the end of the current billing period.

  • No partial refunds are provided unless required by law.

  • Applicable taxes are your responsibility.

  • If payment fails, access to the Service may be suspended until payment is received.

7. User Responsibilities and End Client Data

You are solely responsible for:

  • The accuracy of information entered into the platform.

  • Quotes

  • Leads

  • Policies

  • Client Information

  • Uploaded Documents

You confirm that:

  • You have obtained all necessary client consent.

  • You comply with PIPEDA and applicable Canadian privacy laws.

  • You comply with all insurance regulations.

  • You only upload information you are legally authorized to store.

8. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes.

  • Upload malicious software or viruses.

  • Attempt unauthorized access.

  • Reverse engineer or copy the platform.

  • Resell or sublicense the Service.

  • Disrupt or interfere with platform performance.

9. Intellectual Property

All software, branding, designs, features, and platform content (excluding your uploaded data) remain the property of AdvisorMatte or its licensors.

During your subscription, AdvisorMatte grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations.

All rights not expressly granted remain reserved.

10. Your Data and Content

You retain ownership of:

  • Customer Data

  • Documents

  • Uploaded Files

  • Policies

  • Client Information

You grant AdvisorMatte permission to store, process, and transmit this information solely for the purpose of providing the Service.

Upon account termination, you may request an export of your data within a reasonable time before permanent deletion according to our data retention policy.

11. Third-Party Integrations

AdvisorMatte may integrate with services including:

  • Google Analytics

  • Slack

  • Amplitude

  • HubSpot

  • Dropbox

  • Google Drive

Use of third-party services is governed by their own Terms of Service and Privacy Policies.

AdvisorMatte is not responsible for third-party services.

12. Support and Service Availability

Support is provided according to your subscription plan.

Advisor Plan

  • Business Hours Support

MGA & MGA Plus

  • 24/7 Support

Although we strive for maximum uptime, we do not guarantee uninterrupted availability.

The Service may be unavailable due to:

  • Scheduled Maintenance

  • Updates

  • Technical Issues

  • Events beyond our reasonable control

13. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, AdvisorMatte disclaims all warranties including:

  • Merchantability

  • Fitness for a Particular Purpose

  • Non-Infringement

  • Accuracy

  • Availability

AdvisorMatte does not guarantee that the Service will be uninterrupted, secure, or error-free.

The Service is intended solely as a business management platform and does not provide insurance, legal, financial, or tax advice.

14. Limitation of Liability

To the maximum extent permitted by applicable law, AdvisorMatte shall not be liable for:

  • Indirect damages

  • Special damages

  • Consequential damages

  • Lost profits

  • Lost revenue

  • Data loss

  • Business interruption

AdvisorMatte’s total liability shall not exceed the subscription fees paid during the 12 months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless AdvisorMatte, its directors, employees, contractors, and affiliates from claims arising from:

  • Your use of the Service

  • Your uploaded content

  • Your violation of these Terms

  • Your violation of applicable laws

  • Claims involving your End Clients

16. Term, Suspension & Termination

These Terms remain in effect while your subscription is active.

AdvisorMatte may suspend or terminate your account if:

  • You violate these Terms.

  • Subscription fees remain unpaid.

  • Your actions threaten the Service or other users.

You may terminate your account at any time.

The following sections survive termination:

  • Warranty Disclaimers

  • Limitation of Liability

  • Indemnification

  • Governing Law

17. Governing Law

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in:

Saskatoon, Saskatchewan, Canada

The parties may mutually agree to mediation or arbitration before court proceedings.

18. Changes to These Terms

AdvisorMatte may update these Terms periodically.

If material changes are made, we will notify users through:

  • Email

  • In-App Notifications

  • Website Notices

Continued use of the Service constitutes acceptance of the revised Terms.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the complete agreement between you and AdvisorMatte.

Severability

If any provision is found unenforceable, the remaining provisions remain valid.

Assignment

You may not assign these Terms without written consent.

AdvisorMatte may assign these Terms during mergers, acquisitions, or asset sales.

No Waiver

Failure to enforce any provision does not waive our rights.

Force Majeure

AdvisorMatte is not liable for delays caused by circumstances beyond our reasonable control.
